Terms and Conditions
Version terms_2026_05_19. Effective May 19, 2026.
These Terms govern your access to and use of the SnapSpend platform, website, APIs, software, dashboards, artificial intelligence tools, OCR extraction systems, and related services operated by Ardenuity, Inc. By clicking "I Agree", creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms electronically.
1. Eligibility
You must be at least eighteen (18) years old and legally capable of entering into binding agreements. If you use SnapSpend for a company or organization, you represent that you have authority to bind that entity.
2. Description of Services
SnapSpend provides AI-powered accounting and bookkeeping automation tools, including receipt and invoice scanning, OCR extraction, AI categorization, reporting assistance, credit-based usage, APIs, integrations, analytics, and workflow automation. Features may change, improve, be suspended, or be discontinued at any time.
3. Account Registration and Security
You agree to provide accurate, current, and complete registration information, keep it updated, maintain the confidentiality of your login credentials and API keys, and notify SnapSpend of unauthorized access or suspected misuse.
4. License Grant
SnapSpend grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for lawful internal business purposes. The Platform is licensed, not sold.
5. Restrictions on Use
You may not reverse engineer the Platform, copy or create derivative works, circumvent security or usage controls, build competing products, upload harmful content, abuse automated systems, resell the Platform without authorization, or use it for unlawful or deceptive activities.
6. APIs and Integrations
Users of SnapSpend APIs and integrations must keep credentials secure, comply with rate limits and technical restrictions, and avoid misuse or unauthorized distribution of API access. SnapSpend may suspend or revoke API access to protect system integrity.
7. User Data and Privacy
You retain ownership of uploaded data and generated outputs, subject to applicable law and third-party rights. You authorize SnapSpend to process User Data for OCR extraction, AI classification, reporting, fraud prevention, security monitoring, product improvement, analytics, system optimization, support, and operational maintenance.
8. Data Retention and Deletion
SnapSpend may retain User Data, logs, backups, transactional records, and system archives for legal compliance, fraud prevention, dispute resolution, security, backup retention, regulatory obligations, and operational continuity. Deletion requests remain subject to legal, regulatory, accounting, tax, fraud prevention, security, backup, and archival obligations.
9. AI Processing and Accuracy Disclaimer
SnapSpend uses artificial intelligence, machine learning, and OCR systems. Outputs may contain inaccuracies, omissions, hallucinations, or misclassifications. You remain responsible for reviewing, validating, verifying, and approving all outputs before relying on them for accounting, tax, legal, regulatory, compliance, or financial purposes.
10. No Professional Advice
SnapSpend and its outputs do not constitute accounting, auditing, tax, legal, financial, investment, regulatory, or professional advice. Consult qualified professionals before making financial, tax, accounting, legal, or regulatory decisions.
11. Credits, Billing, and Payments
Certain features may use subscriptions, credits, transaction-based billing, or other pricing models. Unless otherwise agreed in writing, credits are non-refundable, expire twelve (12) months from purchase, may not be redeemed for cash, and pricing may change upon notice.
12. Third-Party Services
Some Platform functionality may rely on third-party providers, including cloud hosting providers, AI systems, OCR engines, payment processors, analytics services, or external integrations. SnapSpend is not responsible for interruptions, outages, errors, delays, data loss, or actions attributable to third-party providers.
13. Service Availability
The Platform is provided on an AS IS and AS AVAILABLE basis. SnapSpend does not guarantee uninterrupted availability, error-free operation, or continuous access, and disclaims warranties to the maximum extent permitted by law.
14. Intellectual Property
All intellectual property rights relating to the Platform, including software, APIs, AI systems, OCR engines, prompts, interfaces, trademarks, branding, databases, workflows, documentation, and improvements, are owned by SnapSpend or its licensors.
15. Confidentiality
You agree not to disclose, misuse, or exploit non-public information relating to the Platform, including technical information, pricing, security measures, architecture, workflows, business processes, or proprietary systems.
16. Suspension and Termination
SnapSpend may suspend, restrict, or terminate access for violation of these Terms, fraud, unlawful conduct, abuse, security risks, non-payment, unauthorized API usage, abnormal usage, or activity causing operational, reputational, or legal harm.
17. Limitation of Liability
To the maximum extent permitted by law, SnapSpend is not liable for indirect, incidental, consequential, special, exemplary, punitive, or speculative damages, including business interruption, lost profits, lost revenue, tax liabilities, regulatory penalties, reputational harm, or data loss.
18. Indemnification
You agree to defend, indemnify, and hold harmless SnapSpend, its affiliates, officers, directors, employees, contractors, licensors, and partners from claims arising from misuse of the Platform, violation of these Terms, unlawful data, regulatory violations, infringement, fraud, or reliance on AI outputs without proper verification.
19. Dispute Resolution
Before filing legal action, the parties agree to attempt good-faith negotiation. These Terms are governed by the laws of the Republic of the Philippines, with exclusive jurisdiction in the proper courts of Manila, Philippines.
20. Modifications
SnapSpend may modify these Terms or the Platform at any time. Updated Terms become effective upon posting or notice through the Platform. Continued use after updates constitutes acceptance of the revised Terms.
21. Entire Agreement
These Terms constitute the entire agreement between you and SnapSpend regarding use of the Platform.
